Terms and Conditions for Software Development & Related Services
Covers build-and-deliver software projects only. Diagnostic, process-audit and
operations-optimization engagements are governed by the separate
Consulting & Operations Optimization Agreement.
Sample agreement. The commercial terms — price, payment method and the parties — are completed for each project before signing.
1.Parties
This Service Agreement (the “Agreement”) is entered into as of

2.Scope of Services
The Provider agrees to design, develop, and deliver the following project or service
package (the “Services” and the resulting “Deliverables”):

The Deliverables will be further detailed in the requirements document described in
Section 3.1. Additional features, pages, integrations, or services requested by the Client
are welcome: the Parties will discuss them together and the Provider will confirm the
price in writing (email or WhatsApp is sufficient) before starting the additional work
(a “Change Order”).
3.Demo, Delivery Timeline & Approval

Requirements (BRD). Before development begins, the Parties will define
the project requirements together — working hand-in-hand with the Client's team and
designated personnel — in a Business Requirements Document (the “BRD”) covering
the features, structure, content, and acceptance criteria of the Deliverables. Once
confirmed in writing (email or WhatsApp is sufficient), the BRD becomes the shared
reference for the project. It may be adjusted by mutual agreement as the work progresses;
substantial changes are handled as Change Orders under Section 2.

The Provider will deliver a working demonstration of the project (the “Demo”) within the
timeline the Parties agree when confirming the BRD, counted from the Client's delivery of
the materials needed to begin the work (Section 5).

The Client will review the Demo and share consolidated feedback within approximately
five (5) business days. Feedback is addressed as revisions under
Section 6. If the Client does not respond within ten (10) business days after a written
reminder, the Demo is deemed approved so the project can move forward.

The Demo and all related source code, system architecture, concepts, and designs remain
the exclusive intellectual property of the Provider until the first payment under
Section 4 is received; until then, no license, title, or usage right of any kind is
granted to the Client.

If the Client decides not to continue before approving the Demo, this Agreement may be
cancelled under Section 12.1 with no payment due from the Client.

4.Price & Payment Terms

First payment — fifty percent (50%) of the total price is due upon the
Client's approval (or deemed approval) of the Demo, before further development continues.

Final payment — the remaining fifty percent (50%) is due upon final
delivery of the Deliverables, prior to the transfer of credentials, source code,
domain/hosting configuration, or deployment to production (whether on Client-owned or
Provider-managed infrastructure per Section 4.4). Where the transaction is completed
in person, the Provider shall demonstrate the system functionality and
operation in a controlled environment. Credentials and root passwords shall be handed
over immediately following the verification of payment execution or valid proof
of payment capacity, at which point the Provider shall ensure no unauthorized
access is retained.

If a payment is more than ten (10) days overdue, the Provider may, after written
notice, pause the Services and any hosting it provides until payment is received.

Hosting & infrastructure. The Parties select one of the following
options for the production infrastructure of the Deliverables:
If no option is selected, the Client-managed option applies. If a monthly
maintenance fee remains unpaid, the Provider may pause the managed service after ten (10)
days' written notice.
Service level (Managed and Hybrid options). For infrastructure operated
by the Provider, the Provider targets a monthly availability of 99.9%
(equivalent to a maximum of approximately forty-eight (48) minutes of
service downtime per month), excluding: (a) scheduled maintenance windows, notified at least forty-eight (48) hours in
advance and performed, where possible, outside business hours; (b) failures of
third-party platforms or services outside the Provider's control; and (c) outages caused
by the Client (including non-payment of underlying infrastructure under the Hybrid
option). Temporary interruptions within these margins do not constitute a breach of this
Agreement.

Other recurring services (e.g., support plans, corporate email, SEO), if contracted, are
billed separately according to the plan selected and are not included in the total price
above unless expressly stated in Section 2.
5.Client Obligations
-
The Client shall provide, in a timely manner, all content (text, images, logos, menus,
product data), account access, credentials, approvals, and decisions reasonably required
for the Provider to perform the Services.

The Client warrants that all materials it supplies are owned by or licensed to the Client
and do not infringe any third-party rights. The Client shall indemnify the Provider
against claims arising from materials supplied by the Client.
-
Timelines adjust automatically for any period in which the Provider is waiting on
materials, feedback, or payments from the Client; the Parties will keep each other
informed to keep the project moving.
6.Revisions & Change Orders
The price includes up to (default: two (2))
rounds of revisions to the approved Demo, handled flexibly and in good faith. To keep the
process simple, the Parties agree on the following distinction:
Included at no cost
- Interface adjustments: sizes, spacing, colors, typography, and layout.
- User experience flows, navigation, and screen organization.
- Wording, labels, texts, and notification templates.
- Form fields, filters, and options within existing modules.
- Re-ordering of priorities within the agreed scope.
- Minor workflow refinements that do not add new systems.
Change Order — quoted separately
- Payment gateway or automated billing integrations.
- AI features or services (chatbots, automated processing, translation engines,
data analysis).
- Development of documented REST APIs or public/third-party APIs (unless
explicitly defined as a primary deliverable in the approved BRD).
- New modules, features, or third-party integrations beyond the agreed BRD.
- Native mobile applications.
- Changes requiring a redesign of the data architecture.
Guiding rule: a change is included at no cost when it adjusts what already
exists without affecting the delivery date. A change is a Change Order when it introduces
new systems, external services, or additional development effort that would
delay the agreed delivery date — in that case the Provider will inform the
Client of the cost and new timeline in writing before starting, and additional revision
rounds beyond those included are quoted the same way.
7.Intellectual Property

Upon receipt of full payment, the Provider assigns to the Client all rights in the final
Deliverables specific to the Client's project, including the website design, custom code,
and content created for the Client.

The Provider retains all rights to its pre-existing materials, generic components,
internal tools, libraries, templates, and know-how used to build the Deliverables, and
grants the Client a perpetual, non-exclusive license to use them as embedded in the
Deliverables.
-
The Deliverables may include third-party and open-source components, which remain subject
to their own licenses. The Provider shall only use components whose licenses permit the
Client's intended use.

Until full payment is received, all Deliverables remain the property of the Provider and
the Client acquires no rights in them.
8.Portfolio & Publicity Rights
The Client agrees that the Provider may display the completed work (including screenshots
and a general description) in Solo Tech Solutions' portfolio, website, and marketing
materials, subject to the level of anonymization selected by the Client below:
If no option is selected, the Anonymized option applies by default. The
Client may change its selection at any time by written notice.
9.Confidentiality & Data Protection

Each Party shall keep confidential all non-public business, technical, and financial
information received from the other Party, and use it solely to perform this Agreement.
This obligation survives termination of this Agreement for five (5) years, provided
that obligations regarding trade secrets, proprietary source code, and core
infrastructure architecture shall survive indefinitely.

The Provider shall use credentials and personal data supplied by the Client only for the
purposes of the project, protect them with reasonable safeguards, and delete or return
them upon the Client's request after final delivery (except as needed for agreed ongoing
services or legal compliance).
-
Third-party platforms. The Deliverables may rely on third-party cloud
platforms and services (such as AWS, Cloudflare, or Supabase). Provided the Provider has
followed reasonable, industry-standard security practices, the Provider is not liable
for security breaches or data losses originating from vulnerabilities, failures, or
incidents in those third-party platforms. Upon becoming aware of such an incident
affecting the Client's data, the Provider shall notify the Client without undue delay
and reasonably cooperate in mitigating its effects.
10.Warranty & Support

The Provider warrants that the Deliverables will materially conform to the approved scope
for (default: thirty (30) days)
after final delivery (the “Warranty Period”). Defects reported in writing during the
Warranty Period will be corrected by the Provider at no additional cost.

The warranty does not cover modifications made by anyone other than the Provider,
failures of third-party services not managed by the Provider, new features or content
changes, or issues caused by misuse.

Ongoing support and maintenance beyond the Warranty Period is available under a separate
support plan and is not included unless stated in Section 2.
11.Limitation of Liability
-
To the maximum extent permitted by law, each Party's total aggregate liability under this
Agreement shall not exceed the total fees actually paid by the Client under this Agreement.
-
Neither Party shall be liable for indirect, incidental, special, or consequential damages,
including loss of profits, revenue, data, or business opportunity.
-
The Provider does not warrant any specific commercial outcome, sales volume, search-engine
ranking, or level of traffic resulting from the Deliverables.
-
Nothing in this Agreement excludes liability for fraud, willful misconduct, or any
liability that cannot be excluded under the laws of Guyana, including applicable rights of
the Client under the Consumer Affairs Act.
12.Cancellation & Termination
-
Client cancellation before Demo approval. The Client may cancel this
Agreement at no cost at any time before approving the Demo. No payment shall be due;
however, the Client acquires zero license, title, or usage rights over any part of the
Demo, underlying source code, system architecture, or designs created by the Provider,
all of which remain the exclusive intellectual property of the Provider.

Client cancellation after Demo approval. If the Client cancels after
approving the Demo, the first payment (50%) remains due and non-refundable as compensation
for work performed. If the cancellation occurs after substantial completion, the Provider
may also invoice a proportional part of the final payment for work completed to date.

Provider failure to deliver. If the Provider fails to deliver the Demo or
the final Deliverables and does not cure within ten (10) business days of written notice,
the Client may terminate and receive a full refund of all amounts paid for undelivered work.

Breach. Either Party may terminate if the other materially breaches this
Agreement and fails to cure within ten (10) business days of written notice. Sections 7–11
and 13–14 survive termination.
13.General Provisions
The Provider is an independent contractor; nothing in this Agreement creates an employment,
agency, or partnership relationship. Neither Party is liable for delay caused by events
beyond its reasonable control, provided it notifies the other Party and resumes performance
as soon as reasonably possible. Notices are valid if sent in writing to the email addresses
stated in Section 1. This Agreement (together with any Change Orders) is the entire
agreement between the Parties and may be amended by written agreement of both Parties,
including by email or WhatsApp. If any provision is held invalid, the remaining provisions
remain in force. Neither Party may assign this Agreement without the other's consent,
except that the Provider may use subcontractors while remaining responsible for their work.
“Business days” means Monday to Friday, excluding public holidays in Guyana.
14.Governing Law & Dispute Resolution
This Agreement is governed by the laws of the Co-operative Republic of Guyana.
The Parties shall first attempt in good faith to resolve any dispute amicably within thirty
(30) days of written notice of the dispute. Failing amicable resolution, disputes shall be
submitted to the competent courts of Guyana.

Cubre únicamente proyectos de desarrollo y entrega de software. Los servicios de

Contrato de Consultoría y Optimización de Operaciones, por separado.
Contrato de muestra. Los términos comerciales — precio, método de pago y las partes — se completan para cada proyecto antes de la firma.

2.Alcance de los Servicios
El Proveedor se compromete a diseñar, desarrollar y entregar el siguiente proyecto o
paquete de servicios (los “Servicios” y los “Entregables” resultantes):

Los Entregables se detallarán con mayor precisión en el documento de requerimientos
descrito en la Sección 3.1. Las funcionalidades, páginas, integraciones o servicios
adicionales que solicite el Cliente son bienvenidos: las Partes los conversarán en conjunto
y el Proveedor confirmará el precio por escrito (basta un correo o mensaje de WhatsApp)
antes de iniciar el trabajo adicional (una “Orden de Cambio”).
3.Demo, Plazos de Entrega y Aprobación

Requerimientos (BRD). Antes de iniciar el desarrollo, las Partes
definirán juntas los requerimientos del proyecto — trabajando mano a mano con el equipo
del Cliente y el personal designado — en un Documento de Requerimientos del
Negocio (el “BRD”) que cubra las funcionalidades, la estructura, el contenido y los
criterios de aceptación de los Entregables. Una vez confirmado por escrito (basta un
correo o mensaje de WhatsApp), el BRD se convierte en la referencia compartida del
proyecto. Podrá ajustarse de mutuo acuerdo a medida que avance el trabajo; los cambios
sustanciales se gestionan como Órdenes de Cambio conforme a la Sección 2.

El Proveedor entregará una demostración funcional del proyecto (el “Demo”) dentro del
plazo que las Partes acuerden al confirmar el BRD, contado desde la entrega por parte del
Cliente de los materiales necesarios para comenzar el trabajo (Sección 5).
-
El Cliente revisará el Demo y compartirá sus comentarios consolidados dentro de
aproximadamente cinco (5) días hábiles. Los comentarios se atienden como
revisiones conforme a la Sección 6. Si el Cliente no responde dentro de los diez (10)
días hábiles siguientes a un recordatorio por escrito, el Demo se considerará aprobado
para que el proyecto pueda avanzar.

El Demo y todo el código fuente, la arquitectura del sistema, los conceptos y los
diseños relacionados permanecen como propiedad intelectual exclusiva del Proveedor
hasta que se reciba el primer pago conforme a la Sección 4; hasta entonces, no se
otorga al Cliente licencia, título ni derecho de uso de ningún tipo.

Si el Cliente decide no continuar antes de aprobar el Demo, este Contrato podrá
cancelarse conforme a la Sección 12.1 sin pago alguno a cargo del
Cliente.

Primer pago — cincuenta por ciento (50%) del precio total, exigible al
momento de la aprobación (o aprobación tácita) del Demo por parte del Cliente, antes de
continuar con el desarrollo.

Pago final — el cincuenta por ciento (50%) restante, exigible en la
entrega final de los Entregables, antes de la transferencia de credenciales, código
fuente, configuración de dominio/alojamiento o el despliegue a producción (ya sea en
infraestructura del Cliente o gestionada por el Proveedor conforme a la Sección 4.4).
Cuando el trato se realice de forma presencial, el Proveedor demostrará
la funcionalidad y operación del sistema en un entorno controlado. Las credenciales y
contraseñas raíz se entregarán inmediatamente después de la verificación de la
ejecución del pago o de una prueba válida de capacidad de pago, momento en el
cual el Proveedor garantizará que no conserva ningún acceso no autorizado.

Si un pago se retrasa más de diez (10) días, el Proveedor podrá, previo aviso por
escrito, pausar los Servicios y cualquier alojamiento que provea hasta recibir el pago.
-
Alojamiento e infraestructura. Las Partes seleccionan una de las
siguientes opciones para la infraestructura de producción de los Entregables:
Si no se selecciona ninguna opción, aplica la opción Gestionada por el
Cliente. Si una tarifa mensual de mantenimiento permanece impaga, el Proveedor
podrá pausar el servicio gestionado tras diez (10) días de aviso por escrito.
Nivel de servicio (opciones Gestionada e Híbrida). Para la
infraestructura operada por el Proveedor, el Proveedor apunta a una disponibilidad
mensual del 99.9% (equivalente a un máximo aproximado de
cuarenta y ocho (48) minutos de caída del servicio al mes), excluyendo: (a) las ventanas de mantenimiento
programado, notificadas con al menos cuarenta y ocho (48) horas de anticipación y
realizadas, en lo posible, fuera del horario laboral; (b) las fallas de plataformas o
servicios de terceros fuera del control del Proveedor; y (c) las interrupciones causadas
por el Cliente (incluida la falta de pago de la infraestructura subyacente en la opción
Híbrida). Las interrupciones temporales dentro de estos márgenes no constituyen
incumplimiento de este Contrato.

Otros servicios recurrentes (p. ej., planes de soporte, correo corporativo, SEO), si se
contratan, se facturan por separado según el plan seleccionado y no están incluidos en el
precio total anterior salvo que se indique expresamente en la Sección 2.
5.Obligaciones del Cliente
-
El Cliente proporcionará oportunamente todo el contenido (textos, imágenes, logotipos,
menús, datos de productos), accesos a cuentas, credenciales, aprobaciones y decisiones
razonablemente necesarios para que el Proveedor preste los Servicios.
-
El Cliente garantiza que todos los materiales que suministre son de su propiedad o cuenta
con licencia sobre ellos, y que no infringen derechos de terceros. El Cliente indemnizará
al Proveedor frente a reclamaciones derivadas de los materiales suministrados por el
Cliente.
-
Los plazos se ajustan automáticamente por cualquier período en que el Proveedor esté a la
espera de materiales, comentarios o pagos del Cliente; las Partes se mantendrán
informadas mutuamente para que el proyecto siga avanzando.
6.Revisiones y Órdenes de Cambio
El precio incluye hasta (por defecto:
dos (2)) rondas de revisiones sobre el Demo aprobado, atendidas con
flexibilidad y de buena fe. Para mantener el proceso simple, las Partes acuerdan la
siguiente distinción:

- Ajustes de interfaz: tamaños, espaciados, colores, tipografía y distribución.
- Flujos de experiencia de usuario, navegación y organización de pantallas.
- Redacción, etiquetas, textos y plantillas de notificaciones.
- Campos de formularios, filtros y opciones dentro de los módulos existentes.
- Reordenamiento de prioridades dentro del alcance acordado.
- Refinamientos menores de flujo de trabajo que no agreguen sistemas nuevos.
Orden de Cambio — se cotiza aparte
- Integración de pasarelas de pago o facturación automatizada.
- Funcionalidades o servicios de IA (chatbots, procesamiento automatizado, motores
de traducción, análisis de datos).
- Desarrollo de APIs REST documentadas o APIs públicas/para terceros (salvo que
estén definidas explícitamente como entregable principal en el BRD aprobado).
- Módulos, funcionalidades o integraciones de terceros nuevos, más allá del BRD
acordado.
- Aplicaciones móviles nativas.
- Cambios que requieran rediseñar la arquitectura de datos.
Regla general: un cambio está incluido sin costo cuando ajusta lo que ya
existe sin afectar la fecha de entrega. Un cambio es Orden de Cambio cuando introduce
sistemas nuevos, servicios externos o esfuerzo adicional de desarrollo que
retrasaría la fecha de entrega acordada — en ese caso el Proveedor
informará al Cliente por escrito el costo y el nuevo plazo antes de comenzar, y las rondas
de revisión adicionales a las incluidas se cotizan de la misma manera.
7.Propiedad Intelectual
-
Al recibir el pago completo, el Proveedor cede al Cliente todos los derechos sobre los
Entregables finales específicos del proyecto del Cliente, incluidos el diseño del sitio
web, el código a medida y el contenido creado para el Cliente.
-
El Proveedor conserva todos los derechos sobre sus materiales preexistentes, componentes
genéricos, herramientas internas, librerías, plantillas y conocimiento técnico utilizados
para construir los Entregables, y otorga al Cliente una licencia perpetua y no exclusiva
para usarlos tal como están incorporados en los Entregables.

Los Entregables pueden incluir componentes de terceros y de código abierto, que permanecen
sujetos a sus propias licencias. El Proveedor solo utilizará componentes cuyas licencias
permitan el uso previsto por el Cliente.
-
Hasta que se reciba el pago completo, todos los Entregables son propiedad del Proveedor y
el Cliente no adquiere derecho alguno sobre ellos.
8.Derechos de Portafolio y Publicidad
El Cliente acepta que el Proveedor pueda mostrar el trabajo terminado (incluyendo capturas
de pantalla y una descripción general) en el portafolio, el sitio web y los materiales de
marketing de Solo Tech Solutions, conforme al nivel de anonimización que el Cliente
seleccione a continuación:
Si no se selecciona ninguna opción, aplica por defecto la opción Anonimizado.
El Cliente puede cambiar su selección en cualquier momento mediante aviso por escrito.
9.Confidencialidad y Protección de Datos

Cada Parte mantendrá la confidencialidad de toda la información comercial, técnica y
financiera no pública recibida de la otra Parte, y la usará únicamente para ejecutar este
Contrato. Esta obligación sobrevive a la terminación del Contrato por cinco (5) años;
no obstante, las obligaciones relativas a secretos comerciales, código fuente
propietario y la arquitectura central de infraestructura sobrevivirán
indefinidamente.

El Proveedor usará las credenciales y los datos personales suministrados por el Cliente
únicamente para los fines del proyecto, los protegerá con salvaguardas razonables y los
eliminará o devolverá a solicitud del Cliente después de la entrega final (salvo lo
necesario para servicios continuos acordados o cumplimiento legal).

Plataformas de terceros. Los Entregables pueden apoyarse en plataformas
y servicios de nube de terceros (como AWS, Cloudflare o Supabase). Siempre que el
Proveedor haya seguido prácticas de seguridad razonables y estándar de la industria, el
Proveedor no será responsable por brechas de seguridad o pérdidas de datos originadas en
vulnerabilidades, fallas o incidentes de dichas plataformas de terceros. Al tener
conocimiento de un incidente de este tipo que afecte los datos del Cliente, el Proveedor
lo notificará al Cliente sin demora indebida y cooperará razonablemente en mitigar sus
efectos.
10.Garantía y Soporte

El Proveedor garantiza que los Entregables se ajustarán materialmente al alcance aprobado
durante (por defecto:
treinta (30) días) después de la entrega final (el “Período de
Garantía”). Los defectos reportados por escrito durante el Período de Garantía serán
corregidos por el Proveedor sin costo adicional.
-
La garantía no cubre modificaciones realizadas por personas distintas del Proveedor,
fallas de servicios de terceros no gestionados por el Proveedor, nuevas funcionalidades o
cambios de contenido, ni problemas causados por el mal uso.
-
El soporte y mantenimiento continuo posterior al Período de Garantía está disponible bajo
un plan de soporte separado y no está incluido salvo que se indique en la Sección 2.
11.Limitación de Responsabilidad
-
En la máxima medida permitida por la ley, la responsabilidad total acumulada de cada Parte
bajo este Contrato no excederá el total de los honorarios efectivamente pagados por el
Cliente bajo este Contrato.
-
Ninguna de las Partes será responsable por daños indirectos, incidentales, especiales o
consecuentes, incluida la pérdida de utilidades, ingresos, datos u oportunidades de
negocio.
-
El Proveedor no garantiza ningún resultado comercial específico, volumen de ventas,
posicionamiento en buscadores ni nivel de tráfico derivado de los Entregables.
-
Nada en este Contrato excluye la responsabilidad por fraude, dolo o cualquier
responsabilidad que no pueda excluirse conforme a las leyes de Guyana, incluidos los
derechos aplicables del Cliente bajo la Ley de Asuntos del Consumidor (Consumer Affairs
Act).
12.Cancelación y Terminación

Cancelación por el Cliente antes de aprobar el Demo. El Cliente puede
cancelar este Contrato sin costo en cualquier momento antes de aprobar el Demo. No se
adeudará pago alguno; sin embargo, el Cliente no adquiere licencia, título ni derecho
de uso alguno sobre ninguna parte del Demo, el código fuente subyacente, la arquitectura
del sistema o los diseños creados por el Proveedor, todos los cuales permanecen como
propiedad intelectual exclusiva del Proveedor.

Cancelación por el Cliente después de aprobar el Demo. Si el Cliente
cancela después de aprobar el Demo, el primer pago (50%) sigue siendo exigible y no
reembolsable como compensación por el trabajo realizado. Si la cancelación ocurre cuando
el trabajo está sustancialmente completo, el Proveedor podrá además facturar una parte
proporcional del pago final por el trabajo completado hasta la fecha.

Incumplimiento de entrega del Proveedor. Si el Proveedor no entrega el
Demo o los Entregables finales y no subsana dentro de los diez (10) días hábiles
siguientes al aviso por escrito, el Cliente podrá terminar el Contrato y recibir el
reembolso total de los montos pagados por el trabajo no entregado.

Incumplimiento. Cualquiera de las Partes podrá terminar el Contrato si la
otra lo incumple materialmente y no subsana dentro de los diez (10) días hábiles
siguientes al aviso por escrito. Las Secciones 7 a 11 y 13 a 14 sobreviven a la
terminación.
13.Disposiciones Generales
El Proveedor es un contratista independiente; nada en este Contrato crea una relación
laboral, de agencia o de sociedad. Ninguna de las Partes será responsable por demoras
causadas por eventos fuera de su control razonable, siempre que notifique a la otra Parte y
reanude el cumplimiento tan pronto como sea razonablemente posible. Las notificaciones son
válidas si se envían por escrito a los correos electrónicos indicados en la Sección 1. Este
Contrato (junto con cualquier Orden de Cambio) constituye el acuerdo íntegro entre las
Partes y podrá modificarse por acuerdo escrito de ambas, incluso por correo o WhatsApp. Si
alguna disposición resulta inválida, las demás permanecen en vigor. Ninguna de las Partes
podrá ceder este Contrato sin el consentimiento de la otra, salvo que el Proveedor podrá
utilizar subcontratistas manteniéndose responsable de su trabajo. “Días hábiles” significa
de lunes a viernes, excluyendo los días feriados de Guyana.
14.Ley Aplicable y Resolución de Disputas
Este Contrato se rige por las leyes de la República Cooperativa de Guyana.
Las Partes intentarán primero, de buena fe, resolver amistosamente cualquier disputa dentro
de los treinta (30) días siguientes al aviso escrito de la disputa. De no lograrse una
resolución amistosa, las disputas se someterán a los tribunales competentes de Guyana.
15.Firmas
Al firmar a continuación, cada Parte confirma que ha leído y entendido este Contrato y que
acepta quedar obligada por él.
