Terms and Conditions for Diagnostic, Process Audit and Operational Transformation Engagements
Covers advisory and process-optimization work. Pure build-and-deliver software projects
are governed by the separate Software Development Agreement.
Sample agreement. The commercial terms — price, payment method and the parties — are completed for each project before signing.
1.Parties
This Consulting & Operations Optimization Agreement (the “Agreement”) is entered into as of

2.Engagement Mode
The Parties select one of the following engagement modes:
If no option is selected, Mode A applies. If the Client engages Mode B within
(default: sixty (60))
days of delivery of the Diagnostic Report,
(default: one hundred percent (100%)) of the Audit Fee already paid is credited
against the price of the Transformation Project.

Anything not listed above is outside the scope of this Agreement. Additional processes,
departments, locations, or systems the Client wishes to include are welcome: the Parties will
discuss them together and the Provider will confirm the price and any change to the timeline in
writing (email or WhatsApp is sufficient) before starting the additional work (a “Change Order”,
Section 7).
4.Phases, Deliverables & Approval

Phase 1 — Discovery (no cost). An initial session in which the Parties
review the Client's situation at a high level and the Provider issues a pre-quote with an
estimated scope. This phase is free of charge and creates no obligation for either Party.

Phase 2 — Process Audit & Diagnostic. The Provider maps the processes
within scope through interviews, observation of the work as it is actually performed, and
review of the systems and operational data the Client makes available. The deliverable is the
“Diagnostic Report”: a process map, an inventory of the friction points and
bottlenecks identified, a prioritized roadmap of recommendations, and an indicative estimate
of the time and cost impact of each recommendation. Every such estimate is a projection and is
subject to Section 11.
If the audit concludes that no intervention offers a reasonable return for the Client, the
Provider will say so in writing. That conclusion is a valid and complete deliverable under
this Agreement and the Audit Fee remains due.

Phase 3 — Requirements (BRD). (Mode B) Before development begins,
the Parties define the requirements together — working hand-in-hand with the Client's team and
designated personnel — in a Business Requirements Document (the “BRD”) covering the features,
structure, content, and acceptance criteria of the Deliverables. Once confirmed in writing
(email or WhatsApp is sufficient), the BRD becomes the shared reference for the project. It may
be adjusted by mutual agreement as the work progresses; substantial changes are handled as
Change Orders under Section 7.

Phase 4 — Solution Design & Demo. (Mode B) The Provider delivers
a working demonstration of the solution (the “Demo”) within the timeline the Parties agree when
confirming the BRD, counted from the Client's delivery of the materials and access needed to
begin the work (Section 6). The Client will review the Demo and share consolidated feedback
within approximately five (5) business days. Feedback is addressed as revisions
under Section 7. If the Client does not respond within ten (10) business days after a written
reminder, the Demo is deemed approved so the project can move forward.
The Demo and all related source code, system architecture, concepts, and designs remain the
exclusive intellectual property of the Provider until the first implementation payment under
Section 5 is received; until then, no license, title, or usage right of any kind is granted to
the Client. If the Client decides not to continue before approving the Demo, this Agreement may
be cancelled under Section 15.2 with no implementation payment due.

Phase 5 — Build, Iteration & Operational Testing. (Mode B) The
Provider builds and deploys the solution in iterative deliveries, validating each against the
acceptance criteria recorded in the BRD.

Phase 6 — Final Delivery, Training & Handover. (Mode B) The
Provider hands over the Deliverables, trains the Client's team as set out in Section 12.4, and
provides written documentation. The Warranty Period (Section 12) begins on final delivery.

5.Price & Payment Terms

Audit Fee. Fifty percent (50%) is due on signature of this Agreement and the
remaining fifty percent (50%) upon delivery of the Diagnostic Report. The Provider may withhold
the Report until the final instalment is received.

First implementation payment — fifty percent (50%) of the Transformation
Project price is due upon the Client's approval (or deemed approval) of the Demo, before
further development continues.

Final implementation payment — the remaining fifty percent (50%) is due upon
final delivery of the Deliverables, prior to the transfer of credentials, source code,
domain/hosting configuration, or deployment to production (whether on Client-owned or
Provider-managed infrastructure per Section 5.5). Where the transaction is completed
in person, the Provider shall demonstrate the system functionality and
operation in a controlled environment. Credentials and root passwords shall be handed over
immediately following the verification of payment execution or valid proof of payment
capacity, at which point the Provider shall ensure no unauthorized access is retained.

If a payment is more than ten (10) days overdue, the Provider may, after written notice, pause
the Services and any hosting it provides until payment is received.

Hosting & infrastructure (Mode B). The Parties select one of the following
options for the production infrastructure of the Deliverables:
If no option is selected, the Client-managed option applies. If a monthly
maintenance fee remains unpaid, the Provider may pause the managed service after ten (10) days'
written notice.
Service level (Managed and Hybrid options). For infrastructure operated by the
Provider, the Provider targets a monthly availability of 99.9% (equivalent to a
maximum of approximately forty-eight (48) minutes of service downtime per month),
excluding: (a) scheduled maintenance windows, notified at least forty-eight (48) hours in advance
and performed, where possible, outside business hours; (b) failures of third-party platforms or
services outside the Provider's control; and (c) outages caused by the Client (including
non-payment of underlying infrastructure under the Hybrid option). Temporary interruptions within
these margins do not constitute a breach of this Agreement.

Third-party tools and licences. Software subscriptions, licences, payment
gateways, cloud services, and any other third-party product recommended in the Diagnostic Report
or required by the solution are contracted and paid directly by the Client, in the
Client's own name, and are not included in the prices above unless expressly stated in
Section 3.

On-site work and expenses. The Audit Fee includes up to
(default: three (3))
days of on-site work within Georgetown. Additional on-site days, travel outside Georgetown, and
any out-of-pocket expenses are invoiced separately and require the Client's written approval in
advance.

Other recurring services (e.g., support plans, corporate email, SEO, change-management coaching),
if contracted, are billed separately according to the plan selected and are not included in the
prices above unless expressly stated in Section 3.
6.Client Obligations & Access

Project Sponsor. The Client shall designate one person with authority to make
decisions, grant access, and approve deliverables on its behalf:

Access. The Client shall provide reasonable and timely access to the personnel,
workflows, systems, documents, and operational data needed to perform the audit, including
making staff available for interviews and allowing observation of the work as it is performed.
The accuracy and value of the Diagnostic Report depend directly on the completeness and
accuracy of this access.

The Client warrants that the data and materials it supplies are accurate, are owned by or
licensed to the Client, are lawfully held, and do not infringe any third-party rights, and that
the Client has the authority to grant access to the systems concerned and to allow its personnel
to participate. The Client shall indemnify the Provider against claims arising from materials or
access supplied by the Client.

Notice to personnel. The Client shall inform its personnel that the engagement
involves the observation and mapping of their work, and shall obtain any consent or authorization
required under applicable law.

The Client shall also provide, in a timely manner, all content, credentials, approvals, and
decisions reasonably required for the Provider to perform Phases 3 to 6.
-
Timelines adjust automatically for any period in which the Provider is waiting on access,
materials, feedback, or payments from the Client; the Parties will keep each other informed to
keep the engagement moving.
7.Revisions & Change Orders
The price includes up to (default: two (2))
rounds of revisions to the Diagnostic Report and to the approved Demo, handled flexibly and in good
faith. To keep the process simple, the Parties agree on the following distinction:
Included at no cost
- Re-ordering the priorities of the roadmap within the agreed scope.
- Wording, labels, reporting formats, and notification templates.
- Interface adjustments: sizes, spacing, colors, typography, and layout.
- User experience flows, navigation, and screen organization.
- Form fields, filters, and options within existing modules.
- Additional interviews or clarifications within the area already in scope.
- Minor workflow refinements that do not add new systems.
Change Order — quoted separately
- Extending the audit to departments, locations, or processes not listed in Section 3.
- Payment gateway, ERP, or automated billing integrations.
- AI features or services (chatbots, automated processing, translation engines,
data analysis).
- Development of documented REST APIs or public/third-party APIs (unless explicitly
defined as a primary deliverable in the approved BRD).
- New modules, features, or third-party integrations beyond the agreed BRD.
- Native mobile applications.
- Changes requiring a redesign of the data architecture.
- Ongoing change-management or coaching beyond the training in Section 12.4.
Guiding rule: a change is included at no cost when it adjusts what already exists
without affecting the delivery date. A change is a Change Order when it introduces new systems,
external services, additional areas of the business, or additional effort that would
delay the agreed delivery date — in that case the Provider will inform the Client
of the cost and new timeline in writing before starting, and additional revision rounds beyond
those included are quoted the same way.
8.Intellectual Property & Use of Deliverables

Upon receipt of full payment, the Provider assigns to the Client all rights in the final
Deliverables specific to the Client's engagement — including the Diagnostic Report, the process
maps, the custom code, and the content created for the Client — for the Client's own internal
business use.

The Provider retains all rights to its pre-existing materials, audit and diagnostic
methodology, frameworks, report templates, generic components, internal tools, and
know-how used to produce the Deliverables, and grants the Client a perpetual, non-exclusive
license to use them as embedded in the Deliverables.

The Client may share the Diagnostic Report internally and with its own professional advisors,
but shall not resell, publish, or distribute it, or the Provider's methodology, to third parties
as a standalone product or service without the Provider's written consent.

The Deliverables may include third-party and open-source components, which remain subject to
their own licenses. The Provider shall only use components whose licenses permit the Client's
intended use.

Until full payment is received, all Deliverables remain the property of the Provider and the
Client acquires no rights in them.
9.Portfolio & Publicity Rights
The Client agrees that the Provider may describe the completed engagement (including screenshots
and a general description of the results) in Solo Tech Solutions' portfolio, website, and marketing
materials, subject to the level of anonymization selected by the Client below:
If no option is selected, the Anonymized option applies by default. In every case,
the confidential operational and financial details covered by Section 10 shall not be disclosed.
The Client may change its selection at any time by written notice.
10.Confidentiality & Data Protection

Each Party shall keep confidential all non-public business, technical, operational, and
financial information received from the other Party, and use it solely to perform this
Agreement. For the Client, this expressly includes its internal processes, costs, margins,
supplier and customer terms, staffing structure, and any operational data observed during the
audit. This obligation survives termination of this Agreement for five (5) years, provided that
obligations regarding trade secrets, proprietary source code, and core infrastructure
architecture shall survive indefinitely.

The Provider shall use credentials and personal data supplied by the Client only for the
purposes of the engagement, protect them with reasonable safeguards, and delete or return them
upon the Client's request after final delivery (except as needed for agreed ongoing services or
legal compliance).

Personnel observed during the audit. Personal data concerning the Client's
personnel that the Provider observes or collects while mapping processes is used solely to
produce the Deliverables. Wherever it is possible to do so without defeating the purpose of the
engagement, the Provider will report findings by role, team, or process step rather than by
named individual. The Diagnostic Report is a tool for improving processes and is not an
evaluation of the performance, conduct, or suitability of any individual employee.

Third-party platforms. The Deliverables may rely on third-party cloud platforms
and services (such as AWS, Cloudflare, or Supabase). Provided the Provider has followed
reasonable, industry-standard security practices, the Provider is not liable for security
breaches or data losses originating from vulnerabilities, failures, or incidents in those
third-party platforms. Upon becoming aware of such an incident affecting the Client's data, the
Provider shall notify the Client without undue delay and reasonably cooperate in mitigating its
effects.
11.Estimates, Results & Client Decision-Making

Estimates are projections, not guarantees. Any figure describing time saved,
cost reduced, capacity gained, error rates, or return on investment — whether stated in the
pre-quote, the Diagnostic Report, or any other document produced under this Agreement — is an
estimate prepared in good faith from the data and statements supplied by the Client. It does not
constitute a guarantee, warranty, or representation of actual results.

Results depend on factors outside the Provider's control, including the Client's adoption of the
recommendations, the training and supervision of its personnel, changes in the Client's business
or market conditions, and the accuracy and completeness of the information supplied under
Section 6.

The Provider advises and implements; it does not manage the Client's business.
The Provider does not direct the Client's personnel and does not make operational, commercial,
staffing, or disciplinary decisions. All such decisions remain the sole responsibility of the
Client.

The Provider does not provide legal, accounting, tax, audit, regulatory, or
human-resources advice. The Client shall obtain such advice from suitably qualified
professionals before acting on any recommendation that has legal, fiscal, or employment
consequences.

Where a recommendation affects roles, headcount, or terms of employment, any resulting
employment decision is taken by the Client alone, at its sole discretion and responsibility, in
compliance with applicable labour law.
12.Warranty, Adoption & Support

The Provider warrants that the implemented Deliverables will materially conform to the approved
scope for (default: thirty (30) days)
after final delivery (the “Warranty Period”). Defects reported in writing during the Warranty
Period will be corrected by the Provider at no additional cost.

Diagnostic Report. If, within fifteen (15) business days of delivery, the Client
identifies a material factual error in the process map or in the data on which the Report relies,
the Provider will correct it and reissue the Report at no additional cost.

The warranty does not cover modifications made by anyone other than the Provider, failures of
third-party services not managed by the Provider, new features or content changes, issues caused
by misuse, or outcomes affected by the partial adoption or non-adoption of the recommendations.

Training. Phase 6 includes
(default: one (1)) training session for the Client's team, together with written
documentation of the new process. Further coaching, change-management, or refresher sessions are
available under a separate plan.

Ongoing support and maintenance beyond the Warranty Period is available under a separate support
plan and is not included unless stated in Section 3.
13.Limitation of Liability
-
To the maximum extent permitted by law, each Party's total aggregate liability under this
Agreement shall not exceed the total fees actually paid by the Client under this Agreement.

Neither Party shall be liable for indirect, incidental, special, or consequential damages,
including loss of profits, revenue, data, or business opportunity.
-
The Provider does not warrant any specific commercial outcome, level of savings, sales volume,
search-engine ranking, or level of traffic resulting from the Deliverables or from the
implementation of its recommendations.
-
Nothing in this Agreement excludes liability for fraud, willful misconduct, or any liability that
cannot be excluded under the laws of Guyana, including applicable rights of the Client under the
Consumer Affairs Act.
14.Non-Solicitation of Personnel
During the engagement and for twelve (12) months after its completion or termination, neither Party
shall knowingly solicit for employment or engagement any individual of the other Party who was
directly involved in this engagement, without the other Party's prior written consent. This does
not restrict general public recruitment advertising, nor the hiring of any person who responds to
it on their own initiative.
15.Cancellation & Termination

Client cancellation before the Audit begins. The Client may cancel this
Agreement at no cost at any time before the Provider begins Phase 2; any amount already paid is
refunded in full.

Client cancellation before Demo approval. The Client may cancel at any time
before approving the Demo, with no implementation payment due. The Audit Fee for
work already performed under Phase 2 remains due and is not refundable. The Client acquires zero
license, title, or usage rights over any part of the Demo, underlying source code, system
architecture, or designs created by the Provider, all of which remain the exclusive intellectual
property of the Provider.

Client cancellation after Demo approval. If the Client cancels after approving
the Demo, the first implementation payment (50%) remains due and non-refundable as compensation
for work performed. If the cancellation occurs after substantial completion, the Provider may
also invoice a proportional part of the final payment for work completed to date.

Provider failure to deliver. If the Provider fails to deliver the Diagnostic
Report, the Demo, or the final Deliverables and does not cure within ten (10) business days of
written notice, the Client may terminate and receive a full refund of all amounts paid for
undelivered work.

Insufficient access. If the Client does not provide the access required under
Section 6 and does not cure within ten (10) business days of written notice, the Provider may
terminate this Agreement and invoice the work performed to date on a proportional basis.

Breach. Either Party may terminate if the other materially breaches this
Agreement and fails to cure within ten (10) business days of written notice. Sections 8 to 14 and
16 to 17 survive termination.
16.General Provisions
The Provider is an independent contractor; nothing in this Agreement creates an employment, agency,
or partnership relationship, and the Provider's personnel remain under the Provider's sole
direction. Neither Party is liable for delay caused by events beyond its reasonable control,
provided it notifies the other Party and resumes performance as soon as reasonably possible.
Notices are valid if sent in writing to the email addresses stated in Section 1. This Agreement
(together with any Change Orders) is the entire agreement between the Parties and may be amended by
written agreement of both Parties, including by email or WhatsApp. If any provision is held
invalid, the remaining provisions remain in force. Neither Party may assign this Agreement without
the other's consent, except that the Provider may use subcontractors while remaining responsible
for their work and bound by Section 10. “Business days” means Monday to Friday, excluding public
holidays in Guyana.
17.Governing Law & Dispute Resolution
This Agreement is governed by the laws of the Co-operative Republic of Guyana.
The Parties shall first attempt in good faith to resolve any dispute amicably within thirty (30)
days of written notice of the dispute. Failing amicable resolution, disputes shall be submitted to
the competent courts of Guyana.
18.Signatures

la Modalidad B dentro de los

Todo lo no listado arriba queda fuera del alcance de este Contrato. Los procesos, departamentos,
sedes o sistemas adicionales que el Cliente desee incluir son bienvenidos: las Partes los
conversarán en conjunto y el Proveedor confirmará por escrito el precio y cualquier cambio en los
plazos (basta correo electrónico o WhatsApp) antes de iniciar el trabajo adicional (una “Orden de
Cambio”, Sección 7).
4.Fases, Entregables y Aprobación

Fase 1 — Prospección y Diagnóstico Inicial (sin costo). Una sesión inicial en
la que las Partes revisan la situación del Cliente a alto nivel y el Proveedor emite una
precotización con el alcance estimado. Esta fase es gratuita y no genera obligación alguna para
ninguna de las Partes.

Fase 2 — Auditoría de Procesos y Diagnóstico. El Proveedor mapea los procesos
dentro del alcance mediante entrevistas, observación del trabajo tal como se realiza en la
práctica, y revisión de los sistemas y datos operativos que el Cliente ponga a disposición. El
entregable es el “Informe de Diagnóstico”: un mapa de procesos, un inventario
de los puntos de fricción y cuellos de botella identificados, una hoja de ruta priorizada de
recomendaciones, y una estimación indicativa del impacto en tiempo y costo de cada
recomendación. Toda estimación de este tipo es una proyección y queda sujeta a la Sección 11.
Si la auditoría concluye que ninguna intervención ofrece un retorno razonable para el Cliente,
el Proveedor lo indicará por escrito. Esa conclusión constituye un entregable válido y completo
bajo este Contrato y los Honorarios de Auditoría se mantienen exigibles.

Fase 3 — Requerimientos (BRD). (Modalidad B) Antes de iniciar el
desarrollo, las Partes definen en conjunto los requerimientos — trabajando de la mano con el
equipo y el personal designado del Cliente — en un Documento de Requerimientos del Negocio (el
“BRD”) que cubre las funcionalidades, estructura, contenido y criterios de aceptación de los
Entregables. Una vez confirmado por escrito (basta correo electrónico o WhatsApp), el BRD se
convierte en la referencia compartida del proyecto. Puede ajustarse de mutuo acuerdo conforme
avanza el trabajo; los cambios sustanciales se tramitan como Órdenes de Cambio bajo la
Sección 7.

Fase 4 — Diseño de la Solución y Demo. (Modalidad B) El Proveedor
entrega una demostración funcional de la solución (la “Demo”) dentro del plazo que las Partes
acuerden al confirmar el BRD, contado desde la entrega por parte del Cliente de los materiales y
accesos necesarios para comenzar (Sección 6). El Cliente revisará la Demo y entregará
retroalimentación consolidada en aproximadamente cinco (5) días hábiles. La
retroalimentación se atiende como revisiones bajo la Sección 7. Si el Cliente no responde dentro
de los diez (10) días hábiles siguientes a un recordatorio escrito, la Demo se considera
aprobada para que el proyecto pueda avanzar.
La Demo y todo el código fuente, arquitectura de sistemas, conceptos y diseños relacionados
permanecen como propiedad intelectual exclusiva del Proveedor hasta recibir el primer pago de
implementación de la Sección 5; hasta ese momento no se otorga al Cliente licencia, título ni
derecho de uso de ninguna clase. Si el Cliente decide no continuar antes de aprobar la Demo,
este Contrato podrá cancelarse bajo la Sección 15.2 sin pago de implementación
alguno.

Fase 5 — Ejecución, Iteración y Pruebas Operativas. (Modalidad B) El
Proveedor construye y despliega la solución en entregas iterativas, validando cada una contra
los criterios de aceptación registrados en el BRD.

Fase 6 — Entrega Final, Capacitación y Traspaso. (Modalidad B) El
Proveedor entrega los Entregables, capacita al equipo del Cliente según la Sección 12.4 y provee
documentación escrita. El Período de Garantía (Sección 12) comienza con la entrega final.

Honorarios de Auditoría. El cincuenta por ciento (50%) es exigible a la firma
de este Contrato y el cincuenta por ciento (50%) restante contra la entrega del Informe de
Diagnóstico. El Proveedor podrá retener el Informe hasta recibir la cuota final.

Primer pago de implementación — cincuenta por ciento (50%) del precio del
Proyecto de Transformación, exigible al momento de la aprobación (o aprobación tácita) de la
Demo por parte del Cliente, antes de continuar con el desarrollo.

Pago final de implementación — el cincuenta por ciento (50%) restante es
exigible contra la entrega final de los Entregables, previo al traspaso de credenciales, código
fuente, configuración de dominio/hosting o despliegue a producción (ya sea en infraestructura
propia del Cliente o administrada por el Proveedor conforme a la Sección 5.5). Cuando la
transacción se complete de forma presencial, el Proveedor demostrará la
funcionalidad y operación del sistema en un entorno controlado. Las credenciales y contraseñas
de administrador se entregarán inmediatamente después de verificarse la ejecución del
pago o una prueba válida de capacidad de pago, momento en el cual el Proveedor
garantizará no conservar ningún acceso no autorizado.
-
Si un pago presenta más de diez (10) días de mora, el Proveedor podrá, previo aviso escrito,
pausar los Servicios y cualquier hosting que provea hasta recibir el pago.
-
Hosting e infraestructura (Modalidad B). Las Partes seleccionan una de las
siguientes opciones para la infraestructura de producción de los Entregables:
Si no se selecciona ninguna opción, aplica la opción Administrada por el Cliente.
Si una tarifa mensual de mantenimiento permanece impaga, el Proveedor podrá pausar el servicio
administrado tras diez (10) días de aviso escrito.
Nivel de servicio (opciones Administrada e Híbrida). Para la infraestructura
operada por el Proveedor, este apunta a una disponibilidad mensual del 99.9%
(equivalente a un máximo aproximado de cuarenta y ocho (48) minutos de
indisponibilidad al mes), excluyendo: (a) ventanas de mantenimiento programado, notificadas con
al menos cuarenta y ocho (48) horas de anticipación y realizadas, cuando sea posible, fuera del
horario laboral; (b) fallas de plataformas o servicios de terceros fuera del control del
Proveedor; y (c) interrupciones causadas por el Cliente (incluido el impago de la
infraestructura subyacente bajo la opción Híbrida). Las interrupciones temporales dentro de
estos márgenes no constituyen incumplimiento de este Contrato.

Herramientas y licencias de terceros. Las suscripciones de software, licencias,
pasarelas de pago, servicios en la nube y cualquier otro producto de terceros recomendado en el
Informe de Diagnóstico o requerido por la solución son contratados y pagados
directamente por el Cliente, a nombre del propio Cliente, y no están incluidos
en los precios anteriores salvo que se indique expresamente en la Sección 3.

Trabajo presencial y gastos. Los Honorarios de Auditoría incluyen hasta
(por defecto: tres (3))
días de trabajo presencial dentro de Georgetown. Los días presenciales adicionales, los
desplazamientos fuera de Georgetown y cualquier gasto de bolsillo se facturan por separado y
requieren la aprobación previa y por escrito del Cliente.
-
Otros servicios recurrentes (por ejemplo, planes de soporte, correo corporativo, SEO,
acompañamiento en gestión del cambio), de ser contratados, se facturan por separado según el plan
seleccionado y no están incluidos en los precios anteriores salvo que se indique expresamente en
la Sección 3.
6.Obligaciones del Cliente y Accesos
-
Responsable del Proyecto. El Cliente designará a una persona con autoridad para
tomar decisiones, otorgar accesos y aprobar entregables en su nombre:
Nombre y cargo
-
Accesos. El Cliente proporcionará acceso razonable y oportuno al personal,
flujos de trabajo, sistemas, documentos y datos operativos necesarios para realizar la
auditoría, incluyendo poner a su personal a disposición para entrevistas y permitir la
observación del trabajo tal como se realiza. La precisión y el valor del Informe de
Diagnóstico dependen directamente de la integridad y exactitud de estos accesos.
-
El Cliente garantiza que los datos y materiales que suministra son exactos, son de su propiedad
o cuenta con licencia sobre ellos, los posee lícitamente y no infringen derechos de terceros, y
que tiene la autoridad para otorgar acceso a los sistemas involucrados y para permitir la
participación de su personal. El Cliente mantendrá indemne al Proveedor frente a reclamaciones
derivadas de los materiales o accesos suministrados por el Cliente.
-
Aviso al personal. El Cliente informará a su personal que el servicio implica la
observación y el mapeo de su trabajo, y obtendrá cualquier consentimiento o autorización exigido
por la legislación aplicable.
-
El Cliente también proporcionará oportunamente todo el contenido, credenciales, aprobaciones y
decisiones razonablemente requeridos para que el Proveedor ejecute las Fases 3 a 6.
-
Los plazos se ajustan automáticamente por cualquier período en que el Proveedor esté a la espera
de accesos, materiales, retroalimentación o pagos del Cliente; las Partes se mantendrán
informadas para que el servicio siga avanzando.
7.Revisiones y Órdenes de Cambio
El precio incluye hasta (por defecto: dos (2))
rondas de revisión del Informe de Diagnóstico y de la Demo aprobada, gestionadas con flexibilidad y
buena fe. Para mantener el proceso simple, las Partes acuerdan la siguiente distinción:
Incluido sin costo
- Reordenar las prioridades de la hoja de ruta dentro del alcance acordado.
- Redacción, etiquetas, formatos de reporte y plantillas de notificación.
- Ajustes de interfaz: tamaños, espaciados, colores, tipografía y disposición.
- Flujos de experiencia de usuario, navegación y organización de pantallas.
- Campos de formulario, filtros y opciones dentro de módulos existentes.
- Entrevistas o aclaraciones adicionales dentro del área ya incluida en el alcance.
- Refinamientos menores de flujo que no agregan sistemas nuevos.
Orden de Cambio — se cotiza aparte
- Extender la auditoría a departamentos, sedes o procesos no listados en la Sección 3.
- Integraciones con pasarelas de pago, ERP o facturación automatizada.
- Funcionalidades o servicios de IA (chatbots, procesamiento automatizado, motores de
traducción, análisis de datos).
- Desarrollo de APIs REST documentadas o APIs públicas/de terceros (salvo que se definan
explícitamente como entregable principal en el BRD aprobado).
- Nuevos módulos, funcionalidades o integraciones de terceros más allá del BRD acordado.
- Aplicaciones móviles nativas.
- Cambios que requieran rediseñar la arquitectura de datos.
- Acompañamiento continuo en gestión del cambio más allá de la capacitación de la
Sección 12.4.
Regla guía: un cambio se incluye sin costo cuando ajusta lo que ya existe sin
afectar la fecha de entrega. Un cambio constituye una Orden de Cambio cuando introduce sistemas
nuevos, servicios externos, áreas adicionales del negocio o esfuerzo adicional que
retrasaría la fecha de entrega acordada — en ese caso el Proveedor informará al
Cliente por escrito del costo y del nuevo plazo antes de comenzar, y las rondas de revisión
adicionales a las incluidas se cotizan del mismo modo.
8.Propiedad Intelectual y Uso de los Entregables
-
Una vez recibido el pago total, el Proveedor cede al Cliente todos los derechos sobre los
Entregables finales específicos del servicio contratado — incluidos el Informe de Diagnóstico,
los mapas de procesos, el código a la medida y el contenido creado para el Cliente — para el uso
interno propio del negocio del Cliente.
-
El Proveedor conserva todos los derechos sobre sus materiales preexistentes, su
metodología de auditoría y diagnóstico, marcos de trabajo, plantillas de
informe, componentes genéricos, herramientas internas y know-how utilizados para producir los
Entregables, y otorga al Cliente una licencia perpetua y no exclusiva para usarlos tal como están
incorporados en los Entregables.
-
El Cliente podrá compartir el Informe de Diagnóstico internamente y con sus propios asesores
profesionales, pero no podrá revenderlo, publicarlo ni distribuirlo, ni a él ni a la metodología
del Proveedor, a terceros como producto o servicio independiente sin el consentimiento escrito
del Proveedor.
-
Los Entregables pueden incluir componentes de terceros y de código abierto, que permanecen
sujetos a sus propias licencias. El Proveedor solo utilizará componentes cuyas licencias permitan
el uso previsto por el Cliente.
-
Hasta recibir el pago total, todos los Entregables permanecen como propiedad del Proveedor y el
Cliente no adquiere derecho alguno sobre ellos.
9.Derechos de Portafolio y Publicidad
El Cliente acepta que el Proveedor pueda describir el servicio completado (incluyendo capturas de
pantalla y una descripción general de los resultados) en el portafolio, sitio web y materiales de
marketing de Solo Tech Solutions, sujeto al nivel de anonimización que el Cliente seleccione a
continuación:
Si no se selecciona ninguna opción, aplica por defecto la opción Anonimizado. En
todos los casos, los detalles operativos y financieros confidenciales cubiertos por la Sección 10
no serán divulgados. El Cliente podrá cambiar su selección en cualquier momento mediante aviso
escrito.
10.Confidencialidad y Protección de Datos
-
Cada Parte mantendrá confidencial toda la información no pública de carácter comercial, técnico,
operativo y financiero recibida de la otra Parte, y la usará únicamente para ejecutar este
Contrato. Respecto del Cliente, esto incluye expresamente sus procesos internos, costos,
márgenes, condiciones con proveedores y clientes, estructura de personal y cualquier dato
operativo observado durante la auditoría. Esta obligación sobrevive a la terminación de este
Contrato por cinco (5) años, entendiéndose que las obligaciones relativas a secretos
comerciales, código fuente propietario y arquitectura central de infraestructura sobrevivirán
indefinidamente.

El Proveedor usará las credenciales y los datos personales suministrados por el Cliente
únicamente para los fines del servicio, los protegerá con salvaguardas razonables y los eliminará
o devolverá a solicitud del Cliente tras la entrega final (salvo lo necesario para servicios
continuos acordados o para cumplimiento legal).

Personal observado durante la auditoría. Los datos personales del personal del
Cliente que el Proveedor observe o recopile al mapear procesos se usan exclusivamente para
producir los Entregables. Siempre que sea posible hacerlo sin frustrar la finalidad del servicio,
el Proveedor reportará los hallazgos por rol, equipo o paso del proceso, y no por persona
identificada. El Informe de Diagnóstico es una herramienta para mejorar procesos y no
constituye una evaluación del desempeño, conducta o idoneidad de ningún empleado en
particular.

Plataformas de terceros. Los Entregables pueden depender de plataformas y
servicios en la nube de terceros (como AWS, Cloudflare o Supabase). Siempre que el Proveedor haya
seguido prácticas de seguridad razonables y conformes al estándar de la industria, el Proveedor
no es responsable por brechas de seguridad o pérdidas de datos originadas en vulnerabilidades,
fallas o incidentes de dichas plataformas de terceros. Al tener conocimiento de un incidente de
ese tipo que afecte los datos del Cliente, el Proveedor lo notificará sin demora indebida y
cooperará razonablemente en mitigar sus efectos.
11.Estimaciones, Resultados y Toma de Decisiones del Cliente

Las estimaciones son proyecciones, no garantías. Toda cifra que describa tiempo
ahorrado, costo reducido, capacidad ganada, tasas de error o retorno de la inversión — ya sea
expresada en la precotización, en el Informe de Diagnóstico o en cualquier otro documento
producido bajo este Contrato — es una estimación elaborada de buena fe a partir de los datos y
declaraciones suministrados por el Cliente. No constituye garantía ni declaración de resultados
efectivos.
-
Los resultados dependen de factores fuera del control del Proveedor, incluyendo la adopción de
las recomendaciones por parte del Cliente, la capacitación y supervisión de su personal, los
cambios en el negocio o en las condiciones de mercado del Cliente, y la exactitud e integridad de
la información suministrada conforme a la Sección 6.
-
El Proveedor asesora e implementa; no administra el negocio del Cliente. El
Proveedor no dirige al personal del Cliente y no toma decisiones operativas, comerciales, de
personal ni disciplinarias. Todas esas decisiones son responsabilidad exclusiva del Cliente.
-
El Proveedor no presta asesoría legal, contable, fiscal, de auditoría, regulatoria ni de
recursos humanos. El Cliente deberá obtener dicha asesoría de profesionales debidamente
calificados antes de actuar sobre cualquier recomendación que tenga consecuencias legales,
fiscales o laborales.
-
Cuando una recomendación afecte roles, dotación de personal o condiciones de empleo, toda
decisión laboral resultante es tomada únicamente por el Cliente, a su sola discreción y
responsabilidad, en cumplimiento de la legislación laboral aplicable.
12.Garantía, Adopción y Soporte
-
El Proveedor garantiza que los Entregables implementados se ajustarán sustancialmente al alcance
aprobado durante (por defecto:
treinta (30) días) después de la entrega final (el “Período de Garantía”). Los
defectos reportados por escrito durante el Período de Garantía serán corregidos por el Proveedor
sin costo adicional.
-
Informe de Diagnóstico. Si dentro de los quince (15) días hábiles siguientes a
su entrega el Cliente identifica un error factual sustancial en el mapa de procesos o en los
datos sobre los que se apoya el Informe, el Proveedor lo corregirá y reemitirá el Informe sin
costo adicional.
-
La garantía no cubre modificaciones realizadas por terceros distintos del Proveedor, fallas de
servicios de terceros no administrados por el Proveedor, nuevas funcionalidades o cambios de
contenido, problemas causados por uso indebido, ni resultados afectados por la adopción parcial o
la no adopción de las recomendaciones.
-
Capacitación. La Fase 6 incluye
(por defecto: una (1)) sesión de capacitación para el equipo del Cliente, junto
con documentación escrita del nuevo proceso. El acompañamiento adicional, la gestión del cambio o
las sesiones de refuerzo están disponibles bajo un plan separado.
-
El soporte y mantenimiento continuos más allá del Período de Garantía están disponibles bajo un
plan de soporte separado y no están incluidos salvo que se indique en la Sección 3.
13.Limitación de Responsabilidad
-
En la máxima medida permitida por la ley, la responsabilidad total agregada de cada Parte bajo
este Contrato no excederá el total de honorarios efectivamente pagados por el Cliente bajo este
Contrato.
-
Ninguna de las Partes será responsable por daños indirectos, incidentales, especiales o
consecuenciales, incluyendo lucro cesante, pérdida de ingresos, de datos o de oportunidad
comercial.
-
El Proveedor no garantiza ningún resultado comercial específico, nivel de ahorro, volumen de
ventas, posicionamiento en buscadores ni nivel de tráfico derivado de los Entregables o de la
implementación de sus recomendaciones.
-
Nada en este Contrato excluye la responsabilidad por fraude, dolo o cualquier responsabilidad que
no pueda excluirse bajo las leyes de Guyana, incluidos los derechos aplicables del Cliente bajo
la Consumer Affairs Act.
14.No Captación de Personal
Durante la vigencia del servicio y por los doce (12) meses siguientes a su finalización o
terminación, ninguna de las Partes solicitará conscientemente para empleo o contratación a ninguna
persona de la otra Parte que haya participado directamente en este servicio, sin el consentimiento
previo y escrito de la otra Parte. Esto no restringe la publicidad general de reclutamiento ni la
contratación de cualquier persona que responda a ella por iniciativa propia.
15.Cancelación y Terminación
-
Cancelación por el Cliente antes de iniciar la Auditoría. El Cliente podrá
cancelar este Contrato sin costo en cualquier momento antes de que el Proveedor inicie la Fase 2;
cualquier monto ya pagado será reembolsado en su totalidad.
-
Cancelación por el Cliente antes de aprobar la Demo. El Cliente podrá cancelar
en cualquier momento antes de aprobar la Demo, sin que se adeude pago de implementación
alguno. Los Honorarios de Auditoría correspondientes al trabajo ya realizado bajo la
Fase 2 se mantienen exigibles y no son reembolsables. El Cliente no adquiere licencia, título ni
derecho de uso alguno sobre ninguna parte de la Demo, el código fuente subyacente, la
arquitectura del sistema o los diseños creados por el Proveedor, los cuales permanecen como
propiedad intelectual exclusiva del Proveedor.

Cancelación por el Cliente después de aprobar la Demo. Si el Cliente cancela
después de aprobar la Demo, el primer pago de implementación (50%) se mantiene exigible y no
reembolsable como compensación por el trabajo realizado. Si la cancelación ocurre después de
haberse completado sustancialmente el trabajo, el Proveedor podrá además facturar una parte
proporcional del pago final por el trabajo ejecutado hasta esa fecha.

Incumplimiento de entrega por el Proveedor. Si el Proveedor no entrega el
Informe de Diagnóstico, la Demo o los Entregables finales y no subsana dentro de los diez (10)
días hábiles siguientes a un aviso escrito, el Cliente podrá terminar el Contrato y recibir el
reembolso total de los montos pagados por el trabajo no entregado.

Accesos insuficientes. Si el Cliente no proporciona los accesos requeridos por
la Sección 6 y no subsana dentro de los diez (10) días hábiles siguientes a un aviso escrito, el
Proveedor podrá terminar este Contrato y facturar proporcionalmente el trabajo realizado hasta
esa fecha.
-
Incumplimiento. Cualquiera de las Partes podrá terminar si la otra incumple
sustancialmente este Contrato y no subsana dentro de los diez (10) días hábiles siguientes a un
aviso escrito. Las Secciones 8 a 14 y 16 a 17 sobreviven a la terminación.
16.Disposiciones Generales
El Proveedor es un contratista independiente; nada en este Contrato crea una relación de empleo,
agencia o sociedad, y el personal del Proveedor permanece bajo su exclusiva dirección. Ninguna de
las Partes será responsable por demoras causadas por eventos fuera de su control razonable, siempre
que lo notifique a la otra Parte y reanude su cumplimiento tan pronto como sea razonablemente
posible. Las notificaciones son válidas si se envían por escrito a las direcciones de correo
electrónico indicadas en la Sección 1. Este Contrato (junto con cualquier Orden de Cambio)
constituye el acuerdo íntegro entre las Partes y podrá modificarse por acuerdo escrito de ambas,
incluido por correo electrónico o WhatsApp. Si alguna disposición se declara inválida, las
restantes permanecen vigentes. Ninguna de las Partes podrá ceder este Contrato sin el
consentimiento de la otra, salvo que el Proveedor podrá emplear subcontratistas manteniéndose
responsable por su trabajo y quedando estos sujetos a la Sección 10. “Días hábiles” significa de
lunes a viernes, excluyendo los feriados públicos de Guyana.
17.Ley Aplicable y Resolución de Disputas
Este Contrato se rige por las leyes de la República Cooperativa de Guyana. Las
Partes intentarán primero, de buena fe, resolver amistosamente cualquier disputa dentro de los
treinta (30) días siguientes al aviso escrito de la misma. De no lograrse una resolución amistosa,
las disputas se someterán a los tribunales competentes de Guyana.
18.Firmas
Al firmar a continuación, cada Parte confirma que ha leído, entendido y acepta quedar obligada por
este Contrato.
